More real estate buyers are seeking legal advice before investing in property in Dubai because of increasing concerns over security, it is claimed.
The global crisis has resulted in a more cautious approach in Dubai where many investors watched property values fall by up to 50% and led to an increasing number of disputes, according to agents.
Clients have serious concerns over the security of their real estate investments. Further, increase in number of real estate disputes is a result of many prospective buyers seeking legal advice prior to making a transaction,’ said Mohanad Alwadiya, managing director of Harbor Real Estate.

‘This was not the case in previous years which also contributed greatly to the problems that clients were facing as proper due diligence was not conducted prior to the sale and purchase of property,’ he added.

Real Estate Regulatory Agency (Rera) recently proposed a free legal advice service for buyers and sellers. This is expected to boost confidence levels in the real estate industry.

Elsewhere in the Gulf region new rules are being considered to make the real estate industry more transparent and secure.

For example, in Qatar a new law is currently being drawn up to regulate real estate agencies and property developers. Individuals freelancing as property brokers and companies not licensed to carry out real estate transactions will be taken to task once the new legislation comes into force.

The aim is to set up an association of real estate agents which would additionally help to regulate the property market and rid it of illegal and dodgy operators. It will also help with valuations.

Officials said the new rules are needed and confirmed there has an increasing number of cases of fraud committed by firms doubling as property brokers.

The official figures won’t be revealed until next week but Cityscape Dubai has been a total flop this year, according to a poll taken on the last day of the international property show.

Almost 70% of respondents to an Arabian Business poll said they thought this week’s Cityscape Dubai would be failure. Indeed there was none of the razzamatazz of last year, no celebrities, an absence of glitzy parties and the organisers admitted before the event that numbers would be down.

Only 1.1% of people said the real estate exhibition would be as successful as last year, while just 4.3% said it would be the biggest show yet.

The majority of people who took part in the poll, some 68.6%, blamed the effects the global economic crisis has had on the emirate’s property market.

Dubai’s Freehold Property Law

The long-awaited Dubai property law was issued by His Highness Shaikh Mohammed Bin Rashid Al Maktoum, Vice-President and Prime Minister of the UAE and Ruler of Dubai. The law says expatriates are now among those who can own properties in Dubai. Law No.7 of 2006 stipulates that freehold is limited to UAE and GCC citizens and companies wholly owned by them, as well as public shareholding companies.

The law also stipulates that upon approval of Dubai's Ruler, non-UAE nationals may be given the right to own properties in some parts of Dubai. They may be given the right to acquire a freehold property, or a 99-year lease property, in areas designated by the Ruler. The law includes 11 chapters comprising 29 articles covering the issues of definitions, general rules, the implementation system of property hold, and the jurisdictions of the Dubai lands and properties Department.

It also stipulates the setting up of a property registration office at the Dubai Lands and Properties Department. This office will be responsible for documenting property rights and their amendments. Its records hold the ultimate evidence against all - without exceptions. Its records cannot be challenged except in the case of forgery.

The law says that a multi-storey property is considered a single property unit that shall be given one entry in the property record. All apartments of a single property unit will have supplementary records that include names of the owners of its apartments, storey and any common facilities.

Following are the excerpts of the new Property Registration Law:

Article No.3
Provisions of this law are applied to properties located in Dubai.

Article No.4
Freehold is limited to UAE and GCC citizens and companies wholly owned by them, as well as public shareholding companies. The law also stipulates that, upon approval of Dubai's Ruler, non-UAE nationals may be given the right to own properties in some parts of Dubai, designated by the Ruler, on a freehold basis, or a 99-year lease.

Article No.5
The original documents and judicial rulings upon which properties are registered are to be kept at the Lands and Properties Department. It bans the removal of documents from the department. Judicial bodies or any expert or committees assigned are authorized to review the documents and get attested copies.

Article No.6
The Lands Department is solely assigned to register property rights and long-term leasing contracts as stipulated in Article No.4 of this law. Under the law, the department will carry out the following duties:
• Specifying survey areas or re-conducting surveys and attesting location maps.
• Specifying rules related survey and releasing maps related to property units.
• Preparing model property contracts.
• Setting rules related to regulating, keeping and destroying documents.
• Setting rules related to the use of computer in data entry and saving.
• Setting rules related to the regulation and keeping the records of property brokers.
• Setting rules related to the assessment of properties.
• Setting rules related to the sale of properties in auctions, and supervising the auctions.
• Fixing fees for services offered by the department.
• Setting up branches of the department upon the director's discretion.

Article No.7
A property register at the Dubai Lands and Properties Department shall be set up for documenting property rights and their amendments. Its records hold the ultimate evidence against all without exceptions. Its records cannot be challenged except in the case of forgery.

Article No.8
Documents of the property register which are electronically saved; have the same evidential value of the original documents.

Article No.9
All property transactions and deals that result in giving, moving, changing or removing property rights, must be registered with the property register. And so must all the final rulings that prove such dealings, which are not considered valid until they are registered.

Article No.10
To undertake transferring any property rights is limited to the contractor's commitment to the guarantee if he defaulted on his contractual duties whether compensation was stipulated in the undertaking or not.

Article No.11
The inheritance notification must be registered with the property register, in case heirs have property rights within their inheritance. And, no dealings will be admitted unless registered.

Article No.12
The department has the authority to look into applications submitted by owners of unregistered lands seeking to settle their legal status.

Article No.13
The department can correct purely financial errors in the property register upon a request by applicants or on its own, with informing concerned parties.

Article No.14
The department coordinates updating property data with parties concerned.

Article No.15
The registration of property areas and units at the property register must be based on typographic, property unit and property area maps. It also reads that each property area must have an independent map, manifesting all property units in the area and their numbers.

Each property unit must also have a separate map, showing its location, boundaries, length, area and buildings, and the numbers of neighbouring units. The law also stipulates that any amendment to the property unit, whether by dividing or merging units must be registered with the property register. The department issues ownership certificates regarding property rights, which are considered ultimate evidence to prove property rights.

The above-mentioned certificates must include any terms, conditions, undertakings or any other commitments. The provisions of federal civil transactions law No.5 of 1985 and its amendments are still valid in the cases not stipulated by this law.

Any agreement or deal concluded in violation of this law is invalid. Any person, department or public prosecution has the right to contest such a deal. This law abrogates the provisions of the decree concerning legal and penal suites related to land transactions in Dubai, dated November 6, 1997.

Who is a Freehold Property Owner?

The owner of a freehold title of real estate enjoys the most superior form of private property ownership. A freeholder is considered to be the absolute owner of the land and buildings comprised in his title; he has the right to occupy, use and enjoy his property forever (“in perpetuity”) or until he transfers the title to a new owner, and his heirs are entitled to inherit his title upon his death. Nevertheless, a freeholder does not have total freedom to do what he wishes on his land.

The most obvious form of external curtailment are public controls, in other words a freeholder must comply with all applicable laws which combine to control the use of, and activities upon, his property. For example, the use to which land and buildings may be put, and the erection of new buildings on land, is invariably subject to governmental approval procedures (such as the necessity for planning permission and a building permit). Further control is imposed through environmental and “non-nuisance” laws, and so on.

The second form of external curtailment is of a more private nature and consists of restrictions placed upon the freehold title. For example, neighbours (and in some instances, the general public) may enjoy rights of way over pathways crossing the freeholder's land. Neighbours may have a right of access onto the land to effect repairs to their own property or they may have a right to run sewers, electricity cables and other service infrastructure under, upon or over the freeholder's land.

The rights that others enjoy over privately owned property are known as “easements”. Typically, easements are imposed by the original developer when he sells the property to the first purchaser and are designed to ensure that all owners in the community that he has built have the appropriate rights to fully enjoy their own property.

A further form of title restriction is the “covenant”. A covenant may be an obligation to do something (a “positive covenant”), such as an obligation to keep the buildings on the land in a good state of repair or an obligation to make a financial contribution to some shared facility such as a car park or private road.

Alternatively, a covenant may take the form of a prohibition (a “restrictive covenant”), such as a prohibition against using the land for commercial purposes or a prohibition against further building on the land. Again, covenants are often imposed by the original developer and are created to maintain a certain standard and character of a community.

Typically, freehold titles relate to land and buildings, and not to parts of buildings (“units”). As far as units are concerned, the closest analogy to freehold title that is most commonly adopted is the “commonhold” concept explained later. This is because the nature of multiple-occupancy buildings requires the respective unit owners to co-operate together to manage and maintain communal property and facilities. The individualistic nature of the freehold title does not provide an appropriate mechanism for such collaboration between individual owners.

A leasehold title is created from a freehold title, in the sense that a freeholder “carves out” a leasehold interest from his freehold estate and transfers the leasehold interest to a third party by way of a lease, who becomes the leaseholder. The main difference between a freehold title and a leasehold title is that the former is perpetual, whereas the latter is restricted to a term of years (for example, we speak of a “long term lease” or a “99 year lease”). The second major difference is that a leasehold title is subject to a superior title, namely the freehold title. The lease creates a contractual relationship of “landlord and tenant” and usually the leaseholder (tenant) is obliged by the provisions of the lease to pay a rent to the freeholder (landlord).

(Reuters) - The property market in Dubai will remain weak to stable, at best, over the next 12 months, and markets in Abu Dhabi could also face some pressure from downward pricing and rental trends in Dubai, said EFG-Hermes.

"We do not anticipate any strong recovery in Dubai selling prices before the second half of 2010 at the earliest," analysts Sana Kapadia and Jad Abbas, said and revised their ratings and fair values on the UAE construction sector.

The analysts said balance sheet constraints of property companies in the UAE may put an effective cap on short-term performance until liquidity conditions improved.

In Abu Dhabi, end-user demand in the property market looks set to pick-up, due to greater availability of mortgage financing, a short-to-medium term supply-demand mismatch and a structured pace of development, the analysts said.

While the Abu Dhabi market is fundamentally strong, the knock-on effect of lower rents in Dubai could precipitate a supply-demand driven market correction, as more residents and businesses choose Dubai over Abu Dhabi, the analysts added.

The once-booming real estate market in Dubai, one of the UAE's seven emirates, has been hit particularly hard by the global financial crisis, with prices tumbling, developers cancelling projects and jobs getting slashed.

Any recovery in the country's property market would go some way toward easing investors' concerns about the health of the second-largest economy in the Gulf Arab region.

Kapadia and Abbas, however, said the sector at large had performed relatively well so far.

"The recovery from the bottom has been rational and gradual as valuations re-rated dismissing a bankruptcy scenario for some developers," they said.

The analysts said they adjusted their assumptions relating to delivery, design, pricing, volume and timing.

They cut their long-term rating on Aldar Properties ALDR.AD to "accumulate" from "buy," while they upgraded their short-term rating on Union Properties UPRO.DU to "neutral" from "reduce".

The analysts said Dubai's Arabtec Holding ARTC.DU remained their "top pick" in the sector and kept their short-term and long-term "buy" rating on the stock.

On 2nd December 1971 Dubai, together with Abu Dhabi and five other emirates, formed the United Arab Emirates after former protector Britain left the Persian Gulf in 1971. In 1973, Dubai joined the other emirates to adopt a single, uniform currency: the UAE dirham. In the 1970s, Dubai continued to grow from revenues generated from oil and trade even as the city saw an influx of Lebanese immigrants fleeing the civil war in Lebanon. The Jebel Ali Free Zone, comprising the Jebel Ali port (reputedly the world's largest man made port) was established in 1979, which provided foreign companies unrestricted import of labor and export capital.

Property prices in Dubai and Abu Dhabi have started bottoming out as end-users and investors show renewed interest in buying apartments and offices, according to the new chief executive of a Dubai-based developer.

Federico Tauber, who joined Tameer Holding in April, said the market had passed its most volatile period in the wake of the property downturn that started last October.

“Four or five months ago, there were no sales,” he said. “Now, we have investors interested again in buying.”

Property brokers and analysts said recently prices had been stabilising in Dubai and Abu Dhabi after months of consecutive declines. To spur sales and accommodate investors who bought at the peak, Tameer recently cut prices at its Dh6 billion (US$1.64bn) Tameer Towers project on Reem Island in Abu Dhabi to Dh1,800 a square foot for residential units and Dh2,500 for offices from highs of Dh3,000 and Dh4,000 respectively, decreases as much as 40 per cent from peak prices.

Mr Tauber said the prices represented the new natural equilibrium for higher end property in the capital.

However, Tameer’s prices still remain above market levels. Apartments on Reem Island are selling for between Dh900 and Dh1,700 a sq ft, according to property listings.

Tameer has also changed payment plans for the Tameer Towers to match up with construction milestones. The changes come after the company started receiving pressure from some investors who were unhappy with what they perceived to be a lack of progress at the project.

The group, called Tameer Towers Investors Group, sent a letter to Mr Tauber last month asking for more concessions. However, the company said it would meet investors only one-to-one.

The problem, group members say, is that buyers are required to have paid 35 per cent of the price of their units at the time of the completion of enabling works, which are now finished. Several investors said they had received letters saying their contract would be cancelled unless they paid enough to reach 35 per cent of the total. Under the new payment plan, another 5 per cent will come due with the completion of the basement of the building and 5 per cent more when the building reaches the third floor by the end of the year. Handover to buyers is scheduled for Jan 2012.

Asked about dealing with investor issues, Mr Tauber said the company was “learning by talking to the customers”. “There is a shift of relationship with the customer,” he said. “Before, it was launch and you give the buyer a payment plan. Now it’s a more one-to-one relationship with investors.”

Investor groups have formed across the UAE in the wake of the global financial crisis. One group in Dubai boasts a membership of hundreds. It meets regularly with the Real Estate Regulatory Agency to advise on the predicament of investors. The Hydra Investors Group in Abu Dhabi successfully pressured Hydra Properties to put back the majority of their payment obligations until after construction is complete.

Tameer has also been cutting costs and negotiating new construction contracts to manage cash during slower times. A year ago, there were nearly 300 employees. Now, the figure is closer to 120.

Mr Tauber said his main strategy was to “deliver what we have promised”. “My mandate is to make sure we deliver all the projects as fast and efficiently as possible,” he said. “That’s what I am going to do.”

Dubai to have real estate project named after famous tenor, Luciano Pavarotti

Ellebiemme Immobili di Presitigio, Italian property firm, along with New World Investment, a real estate developer registered in Dubai, has signed a deal with Nicoletta Mantovani, widow of world famous tenor, Luciano Pavarotti, to build The Pavarotti Tower in Dubai. The residential and commercial building will be built on Palm Jebel Ali with construction expected to begin in September. The tower, to be completed in Dec 2011, will include the Pavarotti Gallery, where recordings of the tenor's voice will be played in a museum dedicated to his life. Items that belonged to Pavarotti have been donated by Ms Mantovani.

Thomas Paoletti, a lawyer with Studio Paoletti, a law firm based in Italy and representing Ellebiemme, said, "The developers have no doubt that this project, the idea for which has been in the pipeline for some time, will be successful despite the current economic situation. Real estate analysts raise questions about Dubai property developer Emaar merger plans

The proposed merger between Dubai developer Emaar and three entities owned by Dubai Holding raises a number of questions about the future of real estate development in the region, it is claimed.

Analysts are concerned about the value of the land owned by Sama Dubai, Dubai Properties and Tatweer and how the property downturn will have affected these assets.

Emaar claims that the merger will result in a business with combined assets of AED194 billion ($52.85 billion) and it expects the merger to be complete n four months.

'There are a lot of questions marks in terms of the valuation. The market couldn't care less about the value recognised on their balance sheet because what is the land really worth in market terms?' said Robert McKinnon, managing director of equity research at Dubai-based investment bank Al Mal Capital.

There are also questions about the viability of Emaar adding more land in Dubai to its portfolio. 'Land bank valuation can exhibit high volatility in stress markets and therefore the true value of land as an asset is tough to gauge. What needs to be assessed is the actual economic value to Emaar from holding additional land in Dubai,' said Saud Masud, an analyst at Swiss investment bank UBS.

'Will property be built upon it in the near term, what is the potential sale value per square foot and to whom may the land be sold to? How marketable is the land?' he added.

Since the merger was announced Standard & Poor's revised the CreditWatch implications for its 'BBB+' long-term credit ratings on Emaar from negative to developing. The agency said it reflected the prospective benefits for Emaar from the merger.

The developer has appointed Royal Bank of Scotland to advise on the consolidation process. The company has also assured that appropriate disclosures will be made in respect of transaction details.

'The proposed consolidation will create a robust and strategic asset base while joining the strengths of the management teams and employees of these companies,' said Emaar chairman Mohammed Alabbar.

There is also concern about the future of Dubai's state-owned developer Nakheel, which has receiving bail out funds from the $10 billion Dubai bond issued to raise cash for state-linked companies hit by the financial crisis.

Investors demand money back on famous sporting names towers in Dubai

International property investors are demanding their money back from the investment company behind the Niki Lauda, Michael Schumacher and Boris Becker towers in Dubai.

These project may bear the name of three incredibly rich and famous sportsmen but those who have put up the cash for them are not happy as money due to be paid back to them in March has not materialised.

The investors paid about €150 million (Dh779.7 million) into funds to pay for the buildings. The investments were then to be repaid from the capital gains. Now they are consulting lawyers as they have not received the funds from Alternative Capital Invest.

Robin Lohmann, managing director of ACI said in a statement that the company has solid assets and the towers will go ahead. He admitted there was a problem as the global market slowdown meant that the money to repay investors was not available.

He said that they have been offered the choice of waiting until ACI's assets could be liquidated or the chance to take property assets owned by another company, Falcon International Investment Group, based in Dubai.

But some investors are concerned that if they accept the Falcon option, they may end up with additional risk and costs.

'Since I do not know the value of Falcon's properties nor what exactly the liabilities and commitments are according to Dubai law, I am extremely sceptical. We do not know exactly what they would be buying,' explained Hartmut Goddecke, a lawyer for several German real estate investors.

According to Martin Kraeter, a German business facilitator based in Dubai, the ownership of Falcon's assets is unclear, although it has links to ACI. 'Falcon only speaks about reservation contracts of different properties but a reservation contract is not a purchasing contract,' he warned.

'We have the ACI assets which are the Boris Becker Tower, the Schumacher Tower and all the rest and we also offer a security package through Falcon of fully paid assets worth about €100 million which is almost double what was due in March,' said Lohmann.

Latest real estate industry job loses sinks Dubai property dream further

The dramatic downturn in the property market in Dubai is still having an effect on jobs with 400 more people losing their positions at a major developer.

Nakheel, whose ambitious projects include the Palm Islands, has made the latest redundancies on top of 500 that were carried out in December.

'Nakheel continues to re-adjust its current business objectives to match supply and demand in the most effective way,' a company spokesman said.

It is a sign that the downturn is by no means over in Dubai where the price of some properties have fallen by up to 50% since the peak of the market in 2008.

Developers, who were mostly reliant on off-plan sales to finance the construction of their projects, have struggled to collect payments, leading to rising defaults, while payments to suppliers have been delayed.

High profile development projects have also been delayed and it is estimated that currently over £335 billion of projects have been halted or are on hold.

A number of merges are going on. Nakheel recently merged a number of its business units.

The redundancies come after at least five years of expansion, during which Nakheel took on staff for large salaries in order to resource its ambitious projects, which also include The World and Waterfront.

While there is no official figure on how many jobs have been lost in the property sector since the downturn hit, estimates suggest thousands have been made redundant across real estate and associated sectors, including construction.
